Job Summary:
Provides legal services to various divisions of Harley-Davidson Financial Services, Inc. (HDFS) regarding complex legal subject matters and/or complex legal/business matters. HDFS divisions include retail/consumer lending, insurance products and services, commercial/wholesale (floor plan and open account) financing for Harley-Davidson dealers, and international operations. Duties may include the development and review of consumer lending, commercial lending, aircraft lending documents, insurance product forms and related agreements and documents, security agreements and other financing documents, Uniform Commercial Code documentation and general legal contracts related to business units, oversight of commercial litigation matters and guidance about company policy and procedures. Senior Corporate Counsel also will be involved in the compliance and regulatory aspects of HDFS business units and will administer company programs following the business process and within the guidance of HDFS’ strategic plan. Senior Corporate Counsel will report to the General Counsel of HDFS and may work closely with Harley-Davidson, Inc.’s (HDI) Legal Department to manage projects as assigned.

PRIMARY RESPONSIBILITIES

- Provides sophisticated legal advice and guidance to HDFS and all its business units and subsidiaries, including Eaglemark Savings Bank.
- Collaborates closely with HDFS General Counsel, HDI legal team, Vice-Presidents and Directors of various business units on both day-to-day and strategic initiatives.
- Reviews, drafts, negotiates, interprets and approves commercial contracts and other business agreements and documents, including credit applications, promissory notes, security agreements and other financing documents, marketing agreements, insurance product forms and licensing agreements.
- Researches and advises on legal issues presented.
- Oversees all HDFS work being performed by outside counsel relating to assigned matters.
- Creates litigation strategies and manages outside or local counsel retained to represent HDFS.
- Manages effective and timely completion of assigned work within agreed budget.
- Prepares and implements policies and procedures in response to legal and regulatory requirements.
- Prepares and delivers training regarding legal and regulatory requirements and emerging issues facing the company.
- Takes a leadership role to actively support Legal Department quality initiatives, seeks continuous improvement opportunities within the scope of responsibility, tracks legal trends and makes recommendations for continuous improvement for HDFS.
- Generally supports HDFS corporate governance efforts in alignment with the obligations of HDI under The Sarbanes-Oxley Act of 2002.
- Follows a career development plan that includes continuously gaining relevant knowledge through hands-on experience, formal and informal education, training and seminars, and networking with others inside and outside the organization.
- Responsible for protecting employees, customers and corporate information. Follows established physical, electronic and procedural safeguards, including policies regarding data protection, segregation of duties, use of passwords, and access to information based solely on business need. In addition, any company-proprietary information (including but not limited to customer information) may not be transferred or transported outside of HDFS by employees upon leaving the company.
- Maintains a current awareness and understanding of, and expertise regarding, applicable consumer finance, banking, and commercial financing laws and regulations, including but not limited to the Fair Credit Reporting Act, Truth in Lending Act, Equal Credit Opportunity Act, Fair Debt Collections Practices Act and Uniform Commercial Code, and internal policies and procedures and advises leadership and business units regarding compliance with those laws, regulations, policies and procedures.

Education Required:
Juris Doctorate degree from an accredited law school

Experience Required:
- Depending on business unit(s) supported, seven to ten years consumer finance, commercial finance, banking, insurance, general corporate, securities or litigation law experience in a major law firm or in-house corporate law department
- Familiarity with and understanding of the laws, rules, and regulations regarding financial services provided by a captive finance company is strongly preferred
- Some experience with management of litigation matters is desired
- Experience with International a plus
- High level of integrity
- Strong written, verbal and interpersonal communication skills
- Ability to be participatory, flexible, versatile and a team player
- Excellent decision-making and problem solving skills
- Excellent judgment, critical thinking and analytic skills and ability to identify all relevant issues
- Ability to provide sound legal advice that is responsive to business needs of HDFS and its subsidiaries and affiliates

- Demonstrated organization, planning and research skills
- Demonstrated ability to take the initiative and achieve results in a fast-paced and changing environment
- Ability to manage own workload, define roles and responsibilities and delegate effectively
